Foundation procedure
- Step 1: Consultation by our experienced LawyerUp team regarding company formation & comparison of legal forms.
- Step 2: LawyerUp takes over the preparation of all necessary documents such as:
- Memorandum of association
- Articles of association
- Commercial register application
- Power of attorney for incorporation
- Lex Friedrich declaration (Lex Koller)
- SME declaration (waiver of auditors)
- Step 3: When founding a limited liability company or a public limited company (GmbH or AG), a confirmation of the deposited share capital is required. The company capital can be deposited with a Swiss bank, which will then issue a capital deposit confirmation.
- Step 4: Signing of the documents by you. You send the signed documents together with the certified signatures and, if applicable, the capital contribution confirmation to us.
- Step 5: After all the necessary documents have been prepared, they must be publicly notarized by a notary public. LawyerUp will gladly make the appointment with the notary for you.
- Step 6: Submission of all documents to the Commercial Register. The commercial register normally needs up to 14 days for publication. If you are in a hurry to establish your company, express processing is also possible.
